(Nasdaq:SONO), the world leader and specialist in hand-carried ultrasound for the point-of-care, today announced that on August 14, 2009, it completed the acquisition of CardioDynamics International Corporation (Nasdaq:CDIC), a leader in impedance cardiography (ICG) for noninvasive hemodynamic assessment. Under the terms of the agreement, CardioDynamics will become a wholly-owned subsidiary of Sonosite, Inc. and CardioDynamics shareholders will receive $1.35 per share in cash. The aggregate transaction is valued at approximately $10.0 million, or $12.3 million net of cash and debt.
Shareholders of CardioDynamics approved the acquisition on August 11, 2009. Worldwide revenue in the second quarter of 2009 was $52.3 million, a decrease of 12% compared to the second quarter of 2008. For the first half of 2009, worldwide revenue was $104.1 million; a decrease of 7% compared with the first half of 2008. Changes in foreign currency rates decreased worldwide revenue by approximately 4% in the quarter and 6% in the first half of 2009.

Operating cash flow was $7.4 million for the first half of 2009 compared to $5.0 million for the first half of 2008, an increase of 48% over the prior year period.

Judge Reverses Earlier Infringement RulingGrants Sonosite Motion For Summary Judgment

(Nasdaq:SONO), the world leader in hand-carried ultrasound, announced today that the United States District Court for the Southern District of Texas, Houston Division, has granted Sonosite's motion for summary judgment of invalidity against Neutrino Development Corporation (Neutrino), a patent holding company. Based on the holding of invalidity, the court reversed its earlier finding that Sonosite infringed Neutrino's patent, US Patent No. 6,221,021 ("the '021 patent").
